EC European Capital RTO 1 AB (publ) receives conditional approval for listing on Spotlight Stock Market

A reverse takeover company is a listed company with no operating business whose sole purpose is to be acquired by another company in a so-called reverse takeover, whereby the acquiring company obtains a stock exchange listing.

EC European Capital RTO 1’s sponsor and parent company is EC European Capital Markets SE, an independent European equity capital markets advisory and transaction platform headquartered in Munich, Germany. To achieve the required ownership dispersion for the listing, European Capital Markets entered into a share distribution agreement with the listed company Dividend Sweden AB. Pursuant to the agreement, Dividend Sweden acquired 10 percent of the shares in the Company and will distribute 75 percent of its holding to its shareholders through a dividend in kind. An extraordinary general meeting of Dividend Sweden has been summoned for 3 September 2026 to resolve on the distribution.
